How to Start a Business in IFZA Free Zone: Complete Company Setup Guide
To start a business in IFZA, you choose your business activities, select a licence and visa package, submit KYC documents through an IFZA Professional Partner, sign the digital incorporation documents and receive your licence. Visas, the establishment card and a corporate bank account follow as separate stages.
The incorporation itself can be completed remotely. What takes real planning is everything around it: whether your activity needs outside approval, how many visas you need in year one, what your total cost looks like after the package price, and whether a free zone company can actually serve the customers you are targeting.
This guide walks through each of those decisions in the order you will face them.
Note: IFZA packages, fees and procedures change frequently. Figures in this guide are indicative and should be confirmed before you budget or apply. Last reviewed: September 2026.
What Is IFZA and Where Is It Located?
IFZA (International Free Zone Authority) is a free zone business community headquartered in Dubai Silicon Oasis (DSO), with its reception at IFZA Business Park, Building A2. It originally began operating in Fujairah before relocating to Dubai, which is why you may still find older references to “IFZA Fujairah.”
It helps to understand the structure behind the name:
| Entity | Role |
| IFZA | The operator you deal with for licensing, packages, flexi-desks and company administration |
| Dubai Silicon Oasis | The free zone in which IFZA companies are located |
| Dubai Integrated Economic Zones Authority (DIEZA) | The Dubai government authority, established under Law No. 16 of 2021, that supervises DSO and Dubai Airport Free Zone |
| Professional Partners | Licensed business setup consultants through whom most IFZA applications are submitted |
Why this matters in practice: IFZA companies are Dubai free zone companies. They are not Fujairah companies, and they are not mainland companies. That distinction affects where you can trade, which regulators apply to your activity, and how banks view your file.
If you are specifically comparing a direct DSO setup with IFZA, see our guide to setting up a business in Dubai Silicon Oasis.
Who Is IFZA a Good Fit For?
IFZA tends to suit businesses that need a Dubai legal presence without heavy physical infrastructure. Typical profiles include:
- Consultants and service providers such as management, IT, marketing and HR consultancies
- Trading businesses that import, export or re-export goods without needing their own warehouse in the zone
- Digital and remote-first businesses run by founders who travel or serve international clients
- Holding and group structures where a Dubai entity is needed to hold interests or invoice internationally
- Foreign companies opening a UAE branch
IFZA is usually a weaker fit when:
- You need to sell directly to walk-in customers in mainland Dubai (retail shops, restaurants, clinics). These normally require a mainland licence and physical premises.
- You need large or specialised facilities, such as manufacturing space or bonded warehousing, where a logistics or industrial free zone may be more practical.
- Your activity is heavily regulated, such as virtual asset services or financial services, and the regulator’s requirements matter more than the licence cost.
Not sure whether free zone or mainland is the right starting point? Our Dubai mainland vs free zone comparison covers that decision in detail.
Which Licence Types Does IFZA Offer?
IFZA currently promotes three main routes:
| Licence route | What it covers | Typical examples |
| Professional licence | Service and consultancy activities | Management consultancy, IT consulting, marketing, design, events, accounting |
| Commercial licence | Trading goods, including import and export | General trading, specific product trading, e-commerce of goods |
| Branch | Registration of an existing foreign company in IFZA | A UK or Indian company opening a Dubai branch |
How do business activities affect your licence?
Your licence is defined by the business activities listed on it, not just the licence category. IFZA publishes a searchable activity list, and each activity has its own code and conditions.
Three practical points to check before you apply:
- Activity wording matters. Banks and clients read your licence. An activity that does not clearly match your business model can create problems when you open a bank account or sign contracts.
- Packages include a set number of activities. Adding more, or mixing activity groups, may carry additional fees. Confirm this with your quote.
- Some activities require external approval. The licence alone does not authorise a regulated business. See the section on external approvals below.
What Legal Structure Will Your IFZA Company Have?
IFZA’s terms refer to two main forms of registration:
- FZCO (Free Zone Company): A limited liability company incorporated in the free zone. It can be owned by individuals, corporate shareholders or a mix of both.
- Branch office: An extension of an existing company, operating under the parent company’s legal identity. The parent remains liable for the branch.
Free zone companies offer 100% foreign ownership, and IFZA states that capital and profits can be fully repatriated.
Individual vs corporate shareholder: IFZA’s registration process is the same for both, but the supporting documents differ. Corporate shareholders need corporate documents that often require notarisation and attestation, which adds time. Plan for this if a holding company or overseas parent will own the IFZA entity.
How Much Does It Cost to Set Up a Company in IFZA?
There is no single IFZA price. Your year-one cost is built from several components, and the package price is only one of them.
What makes up the total cost?
| Cost component | What it is | Type |
| Licence package | Trade licence, registration and a flexi-desk address, priced by visa allocation and licence term | IFZA fee |
| Establishment card | Immigration registration for the company; required before any visa can be issued | Government/immigration fee |
| Residence visa processing (per person) | Entry permit, change of status where applicable, medical test, Emirates ID and visa issuance | Government fees |
| Health insurance | Required for residence visa holders | Third-party cost |
| Office upgrade | Dedicated office or larger workspace, if your visa needs or business model require it | Optional/conditional |
| Additional activities or approvals | Extra activities, activity group combinations, external regulator approvals | Conditional |
| Document attestation | Notarisation and legalisation of corporate or foreign documents | Third-party cost |
| Consultancy/PRO fees | Setup, visa handling and ongoing support from your Professional Partner | Service fee |
| Renewal | Annual licence, establishment card and visa renewals | Recurring |
What do IFZA packages typically start from?
As of mid-2026, several IFZA Professional Partners advertise entry-level zero-visa packages starting from around AED 12,900, with prices increasing as visa allocation increases. These are market-advertised package prices, not a complete setup cost, and promotions change regularly.
The figure most founders underestimate is the gap between the package and the real year-one total. A package that “includes one visa” usually means a visa allocation, meaning the right to apply for one visa. The establishment card and per-person visa processing are commonly charged on top.
A practical budgeting approach:
- Start with the package that matches your year-one visa needs, not your five-year hiring plan.
- Add the establishment card if you need any visa.
- Add per-person visa and insurance costs for each resident.
- Add attestation if a corporate shareholder is involved.
- Ask for a written, itemised quote that separates IFZA fees, government fees and service fees.
Are multi-year licences worth it?
IFZA partners commonly offer multi-year licence terms at a lower effective annual rate. This can make sense if you are confident in your activity and structure. It is less attractive if you expect to change activities, add partners or restructure soon, because amendments carry their own fees.
For wider context on setup budgets across jurisdictions, see our guide to the cost of setting up a business in Dubai.
What Documents Do You Need for IFZA Company Setup?
IFZA lists the following as its standard documentation for incorporation:
- Completed licence application form, including Ultimate Beneficial Owner (UBO) details
- Passport copy of each shareholder
- Digital passport-style photograph
- Emirates ID and UAE visa copy, if the shareholder is a UAE resident
What if a company is the shareholder?
Expect to provide corporate documents for the parent entity. These commonly include the certificate of incorporation, memorandum and articles of association, a board resolution approving the IFZA entity, and details of the parent’s own shareholders and UBOs. Foreign corporate documents usually need to be notarised and attested or apostilled, depending on the issuing country.
Your Professional Partner may also ask for a short business description, proof of address or CV. These support due diligence and activity approval, particularly for activities that attract closer review.
What Is the Step-by-Step IFZA Company Setup Process?
Step 1: Define your business activities and structure
Before contacting anyone, write down exactly what the business will do, who its customers are and where they are located. This determines your activities, licence route, whether you need external approvals and whether a free zone is even the right jurisdiction.
Step 2: Choose your package and visa allocation
Select a licence term and a visa allocation that match your realistic first-year needs. Your office arrangement is linked to how many visas you can hold, so the two decisions go together.
Step 3: Choose a company name
Your proposed name must follow IFZA’s naming rules. Avoid names that suggest a regulated activity you are not licensed for, and prepare alternatives. A branch normally uses the parent company’s name.
Step 4: Submit documents through a Professional Partner
IFZA incorporates companies through its network of Professional Partners. Your partner registers shareholder documents on the IFZA portal and submits the application.
Step 5: Sign the e-legal forms
Once shareholder documents are approved, IFZA issues two e-legal forms that must be signed before incorporation documents are issued.
Step 6: Receive licence approval
IFZA approves the application. If your activity needs approval from an external regulator, that approval may need to happen before or alongside this stage.
Step 7: Sign the Memorandum and Articles of Association
A digital MoA/AoA is sent to all shareholders for electronic signature.
Step 8: Receive your licence
IFZA sends a soft copy of the licence by email. The original can be collected on request.
At this point your company legally exists, but it is not yet ready to hire residents or, in most cases, operate a bank account.
How Do You Get a UAE Residence Visa Through IFZA?
Visas are a separate stage after incorporation. The typical sequence is:
- Establishment card: Registers your company with immigration and records your visa quota.
- Entry permit: Issued for the visa applicant. If the applicant is already in the UAE on another visa, a change of status may apply.
- Medical fitness test: Must be completed in the UAE.
- Emirates ID biometrics: Fingerprints and photograph, also in the UAE.
- Residence visa issuance: The visa is issued and linked to the Emirates ID.
Can you set up an IFZA company without visiting the UAE?
Yes, for incorporation. IFZA states that no physical presence is required during the incorporation process.
However, the residence visa process requires you to be in the UAE for the medical test and biometrics. Many banks also prefer or require an in-person meeting with signatories. Plan at least one trip if you need a visa or a UAE bank account.
How does the office arrangement affect visas?
Flexi-desk arrangements are common for new IFZA companies and satisfy the registered address requirement. The number of visas a company can hold is tied to its package and workspace. If you plan to hire beyond your allocation, you may need to upgrade your package or workspace.
Once you hold a residence visa, you may be able to sponsor family members, subject to salary and housing requirements set by UAE immigration. For long-term residency routes, see our guide to the UAE Golden Visa.
Does Your Activity Need Approval Beyond IFZA?
This is where many setups go wrong. An IFZA licence confirms that your company is registered to carry out listed activities within the free zone framework. It does not replace approval from a sector regulator where one applies.
Examples of activities that commonly need further approval or special attention:
| Activity area | Why it matters |
| Virtual assets and crypto | In Dubai, virtual asset activities are regulated by the Virtual Assets Regulatory Authority (VARA). Activities such as operating an exchange, custody or broker-dealer services generally require VARA authorisation in addition to company registration. |
| Financial services | Activities like payment services or investment management may fall under the Central Bank of the UAE or other financial regulators. |
| Healthcare, education, food and media | May require approvals from the relevant Dubai or federal authority. |
| Real estate brokerage | Operating in the Dubai property market involves Dubai Land Department requirements. |
If you are exploring a crypto-related IFZA company, read why crypto licence applications get rejected in the UAE and our guide to UAE banks for crypto companies before you choose activities. Activity selection and banking strategy need to be planned together.
How Long Does IFZA Company Setup Take?
Timelines depend heavily on how complete your documents are and whether your activity triggers additional review. As a general planning sequence:
| Stage | What affects timing |
| Pre-approval and licence issuance | Document quality, activity risk level, e-signature turnaround |
| Establishment card | Issued after the licence |
| Residence visa and Emirates ID | Applicant availability in the UAE, medical and biometric appointments |
| Corporate bank account | Bank due diligence, business model, source of funds, nationality and activity risk |
A straightforward consultancy with individual shareholders will usually move faster than a corporate shareholder structure with foreign documents requiring attestation, or a regulated activity requiring external approval.
The bank account is often the longest and least predictable stage. It is not controlled by IFZA, and approval is at the bank’s discretion. Our guides on opening a corporate bank account in Dubai and why UAE business bank accounts get rejected explain how to prepare.
Can an IFZA Company Do Business in Mainland Dubai?
An IFZA company can generally trade internationally and with other free zone companies. Selling goods or services directly to customers in mainland UAE is more restricted and depends on your activity.
Common routes include working through a mainland distributor, providing services to mainland clients where permitted, or obtaining a mainland licence or permit where the rules allow. Dubai has introduced mechanisms for certain free zone companies to operate in mainland Dubai under a permit, but eligibility is activity-specific and should be checked before you rely on it.
If most of your revenue will come from mainland UAE customers, evaluate a mainland licence before committing to IFZA.
What Are Your Tax and Compliance Obligations After Setup?
A free zone licence does not mean “no tax obligations.” After incorporation, consider:
- Corporate tax registration: UAE corporate tax applies to free zone companies, and registration with the Federal Tax Authority is required. A free zone company may qualify for a 0% rate on qualifying income if it meets the conditions to be a Qualifying Free Zone Person. Income that does not qualify is taxed at the standard rate. See our guide to UAE corporate tax.
- VAT: Registration is mandatory once taxable supplies pass the applicable threshold.
- UBO records: Beneficial ownership details must be kept accurate and updated when ownership changes.
- Financial records: Maintain proper accounts. Confirm with IFZA or your advisor whether audited financial statements are required for your licence renewal or tax position.
- Economic substance and AML: Certain activities carry anti-money laundering obligations, especially regulated or high-risk sectors.
- Annual renewals: Licence, establishment card, visas and workspace agreements all need renewing on time to avoid fines.
Qualifying Free Zone Person status is a technical tax question. Get specific tax advice before assuming a 0% rate.
What Are the Most Common IFZA Setup Mistakes?
Choosing activities based on price instead of business model. A cheaper package with mismatched activities can lead to bank rejection, licence amendments or regulatory exposure.
Treating the package price as the total cost. Visa processing, the establishment card, insurance and attestation often add significantly to year one.
Assuming IFZA registration covers regulated activities. Crypto, financial services and other regulated sectors typically need regulator approval as well.
Buying too few or too many visas. Too few means upgrading mid-year. Too many means paying for allocation you do not use.
Ignoring the mainland question. If your customers are in mainland UAE, a free zone setup may limit how you can serve them.
Leaving banking until after the licence. Banks assess your activity, structure and documents. Planning the bank account alongside the licence avoids delays.
Missing tax registration deadlines. Corporate tax registration applies from incorporation. Late registration can lead to penalties.
IFZA vs Other Dubai Free Zones: How Should You Compare?
Do not compare free zones on price alone. The better question is which jurisdiction supports your activity, visas, customers and banking with the fewest compromises.
| Factor | Questions to ask |
| Activity | Is your exact activity available, and does it need external approval? |
| Visas | How many visas does each package allow, and what does upgrading cost? |
| Workspace | Is a flexi-desk enough, or do you need an office or warehouse? |
| Customers | Will you mainly serve international, free zone or mainland clients? |
| Sector focus | Does another zone offer a stronger ecosystem for your industry? |
| Renewal cost | What will year two and year three cost, not just year one? |
| Banking | How will banks view your activity and structure? |
